1. Introduction and Acceptance of Terms
These Terms of Use (the "Terms") govern your access to and use of the website operated by Exerevno Limited (the "Website"). By accessing, browsing or otherwise using the Website, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not use the Website.
These Terms constitute a legally binding agreement between you ("you" or the "user") and Exerevno in relation to your use of the Website.
2. About Us
The Website is operated by Exerevno Limited, New Zealand Business Number 9429053641700, an AI consulting business based in Auckland, New Zealand. You can contact us at info@exerevno.co.nz.
3. Definitions
- "Content" means all text, graphics, logos, images, frameworks, layouts, design, code and other material made available on or through the Website.
- "Services" means the AI consulting services Exerevno offers, including AI strategy and planning, AI implementation and build, data and infrastructure, and training and enablement.
- "Services Agreement" means a separate written agreement under which Exerevno may agree to provide Services to a client.
- "we", "us" and "our" mean Exerevno Limited; "you" and "your" mean the user of the Website.
4. The Website Only — No Services Contract
- These Terms govern your use of the Website only. They do not govern, and do not form part of, any engagement for Services.
- Any provision of Services by Exerevno is governed exclusively by a separate written Services Agreement agreed between Exerevno and the relevant client. In the event of any inconsistency between these Terms and a Services Agreement in relation to the subject matter of that agreement, the Services Agreement prevails.
- Nothing on the Website constitutes an offer capable of acceptance, a quote, or a binding commitment to provide Services. No contract for Services is formed by your use of the Website, by submitting a contact form, or by any communication exchanged before a Services Agreement is signed.
5. Information Only — No Advice and No Reliance
- The Content (including any AI-related guidance, frameworks, methodologies, case examples or general information) is provided for general information purposes only.
- The Content does not constitute professional, legal, financial, technical or other advice, and must not be relied upon as such. It does not take account of your particular circumstances, objectives or requirements.
- No client, advisory, fiduciary or other professional relationship is formed between you and Exerevno by your accessing or using the Website. You should obtain appropriate professional advice before acting on any information on the Website.
- While we take reasonable care in preparing the Content, we do not warrant that it is accurate, complete, current or suitable for any particular purpose.
6. Permitted Use and Acceptable Use Restrictions
You may access and use the Website only for lawful purposes and in accordance with these Terms. You must not:
- use the Website in any way that breaches any applicable law or regulation, or that is fraudulent, deceptive or harmful;
- use the Website to transmit unsolicited or unauthorised advertising, spam, malware or any harmful or malicious code;
- scrape, harvest, data-mine, crawl or otherwise systematically extract data or Content from the Website, or use any automated means to access it, except as expressly permitted by us in writing;
- attempt to gain unauthorised access to, interfere with, damage or disrupt the Website, its servers, or any connected systems or networks;
- reverse engineer, decompile or disassemble any part of the Website, except to the extent such restriction is prohibited by law;

- You must not copy, reproduce, republish, distribute, modify, adapt, frame, sell or otherwise commercially exploit any Content, or use any of our trade marks or branding, without our prior written permission, except as permitted by law (for example, fair dealing) or as expressly allowed by these Terms.
8. User Submissions
- If you submit information to us through a contact form or otherwise via the Website, you agree that the information you provide is accurate and not misleading, and that you are entitled to provide it.

- Our handling of personal information you submit is described in our Privacy Policy.
9. Third-Party Links and Resources
The Website may contain links to third-party websites, services or resources. These links are provided for convenience only. We do not control, endorse, or assume responsibility for any third-party website or resource, or for its content, products, services, or privacy practices. Your use of any third-party website is at your own risk and subject to that third party's terms.
10. Disclaimers
- The Website and Content are provided on an "as is" and "as available" basis.
- To the maximum extent permitted by law, we make no representations or warranties of any kind, express or implied, regarding the Website or Content, including as to accuracy, completeness, currency, reliability, fitness for a particular purpose, or that the Website will be available, uninterrupted, secure or error-free, or free of viruses or other harmful components.
- We may modify, suspend or discontinue all or part of the Website at any time without notice or liability.
11. Consumer Law
- Nothing in these Terms is intended to exclude, restrict or modify any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by law (including the New Zealand Consumer Guarantees Act 1993 and the Fair Trading Act 1986) that cannot lawfully be excluded, restricted or modified.
- Where you access or use the Website for the purposes of a business, you agree that the Consumer Guarantees Act 1993 does not apply, and (to the extent permitted by law, including section 5D of the Fair Trading Act 1986) that the provisions of the Fair Trading Act 1986 referred to in section 5C of that Act do not apply. You acknowledge that contracting out in this way is fair and reasonable.
- To the extent we are permitted to limit the remedies available to you for a failure to comply with a guarantee that cannot be excluded, our liability is limited, at our option, to supplying the relevant service again or paying the cost of having it supplied again.
12. Limitation of Liability
- To the maximum extent permitted by law, and subject to section 11, we will not be liable to you or any other person for any indirect, incidental, special or consequential loss or damage, or for any loss of profits, revenue, business, goodwill, data, anticipated savings or opportunity, arising out of or in connection with your access to or use of (or inability to use) the Website or any Content, whether in contract, tort (including negligence), equity, under statute or otherwise, even if we have been advised of the possibility of such loss.
- To the maximum extent permitted by law, our total aggregate liability to you arising out of or in connection with the Website and these Terms is limited to NZ$100.
- You use the Website at your own risk and are responsible for any loss arising from your reliance on any Content.
13. Indemnity
To the maximum extent permitted by law, you agree to indemnify and hold harmless Exerevno and its directors, officers, employees and agents from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable legal costs) arising out of or in connection with your breach of these Terms, your misuse of the Website, or your violation of any law or the rights of any third party.
14. Privacy
Your use of the Website is also governed by our Privacy Policy, which explains how we collect, use and protect personal information. By using the Website, you acknowledge that you have read and understood the Privacy Policy.
15. Changes to the Website and to these Terms
- We may change, update, add to or remove parts of the Website and Content at any time without notice.
- We may amend these Terms from time to time. The current version will always be available on the Website, and the "Last updated" date above indicates when these Terms were last updated. Changes take effect when published. Your continued use of the Website after changes are published constitutes your acceptance of the amended Terms.
16. Suspension and Termination of Access
We may restrict, suspend or terminate your access to all or part of the Website at any time, without notice and without liability, including where we reasonably consider you have breached these Terms or where necessary to protect the Website, our business or other users. Sections that by their nature should survive termination (including sections 5, 7, 10, 11, 12, 13 and 17) will continue to apply.
17. Governing Law and Jurisdiction
These Terms, and any matter arising out of or in connection with them or your use of the Website, are governed by the laws of New Zealand. You submit to the exclusive jurisdiction of the courts of New Zealand in respect of any dispute arising out of or in connection with these Terms or the Website.
18. General
- Severability. If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision will be severed or read down to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
- Waiver. A failure or delay by us in exercising any right under these Terms does not operate as a waiver of that right, and no single or partial exercise of any right prevents any further exercise of it.
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us in relation to your use of the Website, and supersede any prior understandings on that subject matter. This section does not affect any Services Agreement.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms, including in connection with a sale or reorganisation of our business.
